Therefore, if you do not agree with the Terms and Conditions of this non-exclusive license agreement, you must discontinue the use of the services and\/or contact <strong data-start=\"679\" data-end=\"721\">SERVICES WHO&#039;S WHO, SA DE CV.<\/strong>, located at Bosques de Duraznos No. 61, 8th Floor, Office A-2, Col. Bosques de las Lomas, CP 11700, Miguel Hidalgo, Mexico City, Mexico, by phone at +55 5596 3030 or via email at <strong data-start=\"903\" data-end=\"935\"><a class=\"decorated-link cursor-pointer\" rel=\"noopener\" data-start=\"905\" data-end=\"933\">juridico@quienesquien.com.mx<\/a><\/strong>.<\/p><p data-start=\"938\" data-end=\"1286\">\u201cSQQ\u201d may make changes to these Terms and Conditions whenever it seems appropriate. The most up-to-date version of these Terms and Conditions will be published via the link: <a class=\"decorated-link\" href=\"https:\/\/quienesquien.mx\/en\/terminos-y-condiciones\/\" target=\"_new\" rel=\"noopener\" data-start=\"1112\" data-end=\"1210\">https:\/\/quienesquien.mx\/terminos-y-condiciones\/<\/a>, so we recommend reviewing them periodically and before using the services.<\/p><p data-start=\"1288\" data-end=\"1482\">Once the consideration for the services has been covered and the non-exclusive license agreement accepted, you may use the services in accordance with the Terms and Conditions of this agreement.<\/p><hr data-start=\"1484\" data-end=\"1487\" \/><h3 data-start=\"1489\" data-end=\"1522\">SECTION 1. GENERAL PROVISIONS<\/h3><p data-start=\"1524\" data-end=\"1631\">The following general provisions are established for the interpretation and compliance of this instrument.<\/p><p data-start=\"1633\" data-end=\"2324\"><strong data-start=\"1633\" data-end=\"1646\">1.1 \u201cSQQ\u201d<\/strong>: For the purposes of this agreement, <strong data-start=\"1684\" data-end=\"1726\">SERVICES WHO&#039;S WHO, SA DE CV.<\/strong>, located at Bosques de Duraznos No. 61, 8th Floor, Office A-2, Col. Bosques de las Lomas, CP 11700, Miguel Hidalgo, Mexico City, Mexico, registered in the Federal Taxpayer Registry under No. SQE 030711 EQ4, shall at all times be the owner of all industrial and intellectual property rights of the Confidential Information, including, but not limited to, copyrights, trademarks, trade names, logos, and other distinctive signs generally related to the provision of the services under this agreement, without the \u201cCOMPANY\u201d and\/or \u201cUSER\u201d reserving any rights, actions, or exceptions regarding them.<\/p><p data-start=\"2326\" data-end=\"3278\"><strong data-start=\"2326\" data-end=\"2343\">1.2 \u201cCOMPANY\u201d<\/strong>: The \u201cCOMPANY\u201d shall at all times be fully responsible for full compliance with this agreement. \u201cCOMPANY\u201d shall include, without limitation, any partnership, limited liability company, corporation, association, joint-stock company, variable capital corporation, trust company, temporary union of companies, labor organization, unincorporated entity, or government entity using the services, even when the license is accessed through the \u201cUSER,\u201d including partners, associates, executives, and other personnel related to the \u201cCOMPANY\u201d who in any way have access to the services of the \u201cSITE,\u201d and\/or to the Confidential Information owned by \u201cSQQ.\u201d In such case, the \u201cCOMPANY\u201d will be responsible for any breach of this agreement, even if such breach was carried out arbitrarily by the \u201cUSER,\u201d including all applicable legal responsibilities, such as those under the Industrial Property Law and all provisions of the Federal Penal Code.<\/p><p data-start=\"3280\" data-end=\"3429\"><strong data-start=\"3280\" data-end=\"3294\">1.3 \u201cUSER\u201d<\/strong>: \u201cUSER\u201d refers to any person who in any way has access to the services of \u201cSQQ\u201d and\/or to the Confidential Information owned by \u201cSQQ.\u201d<\/p><p data-start=\"3431\" data-end=\"3632\">If the \u201cUSER\u201d uses the services and\/or Confidential Information on behalf of a \u201cCOMPANY,\u201d it is understood that such \u201cCOMPANY\u201d has authorized the person accepting this agreement to do so on its behalf.<\/p><p data-start=\"3634\" data-end=\"3914\"><strong data-start=\"3634\" data-end=\"3663\">1.4 USERNAME AND PASSWORD<\/strong>: The \u201cUSER\u201d may choose and change the password for access at any time. The username is exclusive and non-transferable and may not be assigned or transferred to third parties. The \u201cCOMPANY\u201d and\/or \u201cUSER\u201d shall be responsible in case of non-compliance.<\/p><p data-start=\"3916\" data-end=\"4304\"><strong data-start=\"3916\" data-end=\"3925\">1.4.1<\/strong> To access the services, the \u201cUSER\u201d will receive an email with the necessary credentials (username and password). By logging in, the \u201cUSER\u201d is: (i) confirming that the information provided to \u201cSQQ\u201d is accurate and up to date, and that no third-party information has been provided or impersonated; and (ii) committing to maintain and update the information to ensure its accuracy.<\/p><p data-start=\"4306\" data-end=\"4582\"><strong data-start=\"4306\" data-end=\"4315\">1.4.2<\/strong> If the \u201cUSER\u201d information is inaccurate or uncertain, or if there are reasonable grounds to suspect that the information provided is false or inaccurate, \u201cSQQ\u201d reserves the right to terminate the account and prevent access to the services currently or in the future.<\/p><p data-start=\"4584\" data-end=\"5133\"><strong data-start=\"4584\" data-end=\"4593\">1.4.3<\/strong> If the \u201cUSER\u201d uses a password to access the services of \u201cSQQ,\u201d they are responsible for maintaining the confidentiality of the password and restricting access to their computer. The \u201cUSER\u201d agrees to accept responsibility for all activities that occur under their account or password. If account or password confidentiality is compromised, the \u201cUSER\u201d must immediately notify \u201cSQQ.\u201d \u201cSQQ\u201d reserves the right to take any reasonable actions to secure the acquired services and account, including canceling the account or changing the password.<\/p><p data-start=\"5135\" data-end=\"5630\"><strong data-start=\"5135\" data-end=\"5144\">1.4.4<\/strong> The \u201cUSER\u201d has full control over the information processed from their account; \u201cSQQ\u201d will only manage its storage. However, \u201cSQQ\u201d may rely on the authority of anyone accessing the \u201cUSER\u201d account or using their password and shall not be considered responsible for any debt or damage resulting from: (i) any action or inaction by \u201cSQQ\u201d under this clause, (ii) any compromise of account or password confidentiality, or (iii) any unauthorized access or use of the account or password.<\/p><p data-start=\"5632\" data-end=\"5799\"><strong data-start=\"5632\" data-end=\"5641\">1.4.5<\/strong> \u201cSQQ\u201d will not allow access through a single username to be used by multiple users on the network. The \u201cUSER\u201d is responsible for preventing unauthorized use.<\/p><p data-start=\"5801\" data-end=\"5943\"><strong data-start=\"5801\" data-end=\"5815\">1.5 \u201cSITE\u201d<\/strong>: <a class=\"decorated-link\" href=\"https:\/\/qeq.com.mx\/datos\/pages\/\" target=\"_new\" rel=\"noopener\" data-start=\"5817\" data-end=\"5883\">https:\/\/qeq.com.mx\/datos\/pages\/<\/a> and\/or <a class=\"decorated-link\" href=\"https:\/\/app.q-Detect.com\" target=\"_new\" rel=\"noopener\" data-start=\"5891\" data-end=\"5943\">https:\/\/app.q-Detect.com<\/a><\/p><h3 data-start=\"122\" data-end=\"164\">SECTION 2. TERMS AND CONDITIONS OF USE<\/h3><p data-start=\"166\" data-end=\"381\">The \u201cCOMPANY\u201d and\/or \u201cUSER\u201d shall be fully responsible for compliance with this agreement, including all applicable legal responsibilities, such as those under the Industrial Property Law and the Federal Penal Code.<\/p><p data-start=\"383\" data-end=\"565\">\u201cSQQ\u201d will provide the \u201cCOMPANY\u201d and\/or \u201cUSER\u201d with the services to be used solely and exclusively under the terms and conditions established in this non-exclusive license agreement.<\/p><p data-start=\"567\" data-end=\"848\"><strong data-start=\"567\" data-end=\"596\">2.1 USERNAME AND PASSWORD<\/strong> \u2013 The \u201cUSER\u201d may choose and change the password for access at any time. The username is exclusive and non-transferable and may not be assigned or transferred to third parties. The \u201cCOMPANY\u201d and\/or \u201cUSER\u201d shall be responsible in case of non-compliance.<\/p><p data-start=\"850\" data-end=\"1256\"><strong data-start=\"850\" data-end=\"859\">2.1.1<\/strong> The \u201cUSER\u201d will receive an email with the necessary credentials (username and password) to access the services. By logging in, the \u201cUSER\u201d is: (i) confirming that the information provided to \u201cSQQ\u201d is accurate and up to date, and that no third-party information has been provided or impersonated; and (ii) committing to maintain and update the information to ensure it remains accurate and current.<\/p><p data-start=\"1258\" data-end=\"1534\"><strong data-start=\"1258\" data-end=\"1267\">2.1.2<\/strong> If the \u201cUSER\u201d information is inaccurate or uncertain, or if there are reasonable grounds to suspect that the information provided is false or inaccurate, \u201cSQQ\u201d reserves the right to terminate the account and prevent access to the services currently or in the future.<\/p><p data-start=\"1536\" data-end=\"2085\"><strong data-start=\"1536\" data-end=\"1545\">2.1.3<\/strong> If the \u201cUSER\u201d uses a password to access the services of \u201cSQQ,\u201d they are responsible for maintaining the confidentiality of the password and restricting access to their computer. The \u201cUSER\u201d agrees to accept responsibility for all activities that occur under their account or password. If account or password confidentiality is compromised, the \u201cUSER\u201d must immediately notify \u201cSQQ.\u201d \u201cSQQ\u201d reserves the right to take any reasonable actions to secure the acquired services and account, including canceling the account or changing the password.<\/p><p data-start=\"2087\" data-end=\"2582\"><strong data-start=\"2087\" data-end=\"2096\">2.1.4<\/strong> The \u201cUSER\u201d has full control over the information processed from their account; \u201cSQQ\u201d will only manage its storage. The \u201cUSER\u201d is responsible for preventing unauthorized use.<\/p><hr data-start=\"2753\" data-end=\"2756\" \/><p data-start=\"2758\" data-end=\"3435\"><strong data-start=\"2758\" data-end=\"2795\">2.2 DEFINITION OF AREAS AND ROLES<\/strong> \u2013 The \u201cCOMPANY\u201d and\/or \u201cUSER\u201d shall be responsible for defining all areas and roles of users who will use the services of \u201cSQQ.\u201d This action is crucial to ensure accuracy in performed queries, allowing the deployment of segmented lists tailored to different types of risk, thus facilitating efficient management and integration with other platforms and software. To optimize operational benefits and regulatory compliance, it is crucial that the \u201cCOMPANY\u201d and\/or \u201cUSER\u201d defines all areas and roles of the profiles that will use the services, with the purpose of identifying and assigning the lists that meet the specific needs of each area.<\/p><p data-start=\"3437\" data-end=\"3572\"><strong data-start=\"3437\" data-end=\"3446\">2.2.1<\/strong> The \u201cUSER\u201d must define all areas and roles of the profiles using the services. Operational areas may include, among others:<\/p><ul data-start=\"3573\" data-end=\"3661\"><li data-start=\"3573\" data-end=\"3598\"><p data-start=\"3575\" data-end=\"3598\">Anti-Money Laundering<\/p><\/li><li data-start=\"3599\" data-end=\"3618\"><p data-start=\"3601\" data-end=\"3618\">Human Resources<\/p><\/li><li data-start=\"3619\" data-end=\"3632\"><p data-start=\"3621\" data-end=\"3632\">Suppliers<\/p><\/li><li data-start=\"3633\" data-end=\"3648\"><p data-start=\"3635\" data-end=\"3648\">Procurement<\/p><\/li><li data-start=\"3649\" data-end=\"3661\"><p data-start=\"3651\" data-end=\"3661\">Operations<\/p><\/li><\/ul><p data-start=\"3663\" data-end=\"3770\"><strong data-start=\"3663\" data-end=\"3672\">2.2.2<\/strong> Through the services, the \u201cUSER\u201d must register companies and users for segmentation as follows:<\/p><ul data-start=\"3771\" data-end=\"4146\"><li data-start=\"3771\" data-end=\"3856\"><p data-start=\"3773\" data-end=\"3856\"><strong data-start=\"3773\" data-end=\"3797\">Company Registration<\/strong>: Companies can segment lists by country, area, and role.<\/p><\/li><li data-start=\"3857\" data-end=\"3957\"><p data-start=\"3859\" data-end=\"3957\"><strong data-start=\"3859\" data-end=\"3892\">Definition of Areas and Roles<\/strong>: Create all user areas and roles in the &#039;Security ID&#039; section.<\/p><\/li><li data-start=\"3958\" data-end=\"4021\"><p data-start=\"3960\" data-end=\"4021\"><strong data-start=\"3960\" data-end=\"3981\">User Registration<\/strong>: Register the full name of all users.<\/p><\/li><li data-start=\"4022\" data-end=\"4146\"><p data-start=\"4024\" data-end=\"4146\"><strong data-start=\"4024\" data-end=\"4055\">Deployment and Segmentation<\/strong>: Services display lists segmented by country and area, adapted to different types of risk.<\/p><\/li><\/ul><p data-start=\"4148\" data-end=\"4168\"><strong data-start=\"4148\" data-end=\"4166\">2.2.3 BENEFITS<\/strong><\/p><ul data-start=\"4169\" data-end=\"4474\"><li data-start=\"4169\" data-end=\"4227\"><p data-start=\"4171\" data-end=\"4227\"><strong data-start=\"4171\" data-end=\"4189\">Query Accuracy<\/strong>: More precise and relevant queries.<\/p><\/li><li data-start=\"4228\" data-end=\"4311\"><p data-start=\"4230\" data-end=\"4311\"><strong data-start=\"4230\" data-end=\"4255\">Regulatory Compliance<\/strong>: Ensure compliance with local and global regulations.<\/p><\/li><li data-start=\"4312\" data-end=\"4392\"><p data-start=\"4314\" data-end=\"4392\"><strong data-start=\"4314\" data-end=\"4338\">Efficient Management<\/strong>: Facilitate management of specific lists and risks.<\/p><\/li><li data-start=\"4393\" data-end=\"4474\"><p data-start=\"4395\" data-end=\"4474\"><strong data-start=\"4395\" data-end=\"4419\">Platform Integration<\/strong>: Enable integration with other platforms and software.<\/p><\/li><\/ul><hr data-start=\"4476\" data-end=\"4479\" \/><p data-start=\"4481\" data-end=\"4802\"><strong data-start=\"4481\" data-end=\"4510\">2.3 RESPONSIBILITY OF USE<\/strong> \u2013 The \u201cCOMPANY\u201d and\/or \u201cUSER\u201d is fully responsible for all types of use of the \u201cSQQ\u201d services, whether by executives, partners, employees, or related third parties. They also declare and guarantee that the information displayed through the \u201cSITE\u201d services is for informational purposes only.<\/p><p data-start=\"4804\" data-end=\"5097\"><strong data-start=\"4804\" data-end=\"4813\">2.3.1<\/strong> Contracting any of the \u201cSQQ\u201d services does not release the \u201cCOMPANY\u201d and\/or \u201cUSER\u201d from their own obligations. Any purchase or contracting should be understood as an auxiliary activity that cannot replace the obligations of the \u201cCOMPANY\u201d and\/or \u201cUSER\u201d before the competent authority.<\/p><p data-start=\"5099\" data-end=\"5262\"><strong data-start=\"5099\" data-end=\"5108\">2.3.2<\/strong> \u201cSQQ\u201d shall not be responsible for delays, failures, or denials of access to the services caused by third parties and\/or their internet service provider.<\/p><p data-start=\"5264\" data-end=\"5545\"><strong data-start=\"5264\" data-end=\"5273\">2.3.3<\/strong> To access the services, the \u201cCOMPANY\u201d and\/or \u201cUSER\u201d must pay \u201cSQQ\u201d the established price. The price will include the applicable Value Added Tax (VAT) and will be adjusted according to the current service rates and inflation per the INPC published in the Official Gazette.<\/p><p data-start=\"107\" data-end=\"305\"><strong data-start=\"107\" data-end=\"120\">2.4 SALES<\/strong> \u2013 Through the SQQ website, the \u201cCOMPANY\u201d and\/or \u201cUSER\u201d may make various purchases, for which \u201cSQQ\u201d will store contact and billing information for administrative and marketing purposes.<\/p><p data-start=\"307\" data-end=\"696\"><strong data-start=\"307\" data-end=\"316\">2.4.1<\/strong> Payments and transactions will be processed through <strong data-start=\"369\" data-end=\"421\">OPENPAY, SA DE CV, the ONLINE PAYMENT SYSTEM<\/strong>, so \u201cSQQ\u201d has no control or responsibility over these processes or the information requested for them. The data provided by the \u201cCOMPANY\u201d and\/or \u201cUSER\u201d to complete a purchase will not be processed by SQQ&#039;s servers and will only be stored to manage and validate the purchase.<\/p><p data-start=\"698\" data-end=\"799\"><strong data-start=\"698\" data-end=\"707\">2.4.2<\/strong> \u201cSQQ\u201d reserves the right to revoke any service offering at any time at its sole discretion.<\/p><p data-start=\"801\" data-end=\"1352\"><strong data-start=\"801\" data-end=\"810\">2.4.3<\/strong> In the case of purchasing SQQ services, the transaction will be finalized once the stipulated price has been paid, accepted, and acknowledged according to payment controls. In case of technical failures or delays in payment, the provision of services will not be canceled while reviews and investigations are conducted with the <strong data-start=\"1139\" data-end=\"1164\">ONLINE PAYMENT SYSTEM<\/strong> to determine successful payment. In the event of unsuccessful payment, the \u201cCOMPANY\u201d and\/or \u201cUSER\u201d will be notified to resolve it directly with the online payment system or the bank used.<\/p><p data-start=\"1354\" data-end=\"1658\"><strong data-start=\"1354\" data-end=\"1363\">2.4.4<\/strong> The \u201cCOMPANY\u201d and\/or \u201cUSER\u201d shall make the payment via the <strong data-start=\"1423\" data-end=\"1448\">ONLINE PAYMENT SYSTEM<\/strong>. Data collected by this system will not be processed by \u201cSQQ.\u201d The payment process is subject to the terms and conditions of the online payment system; SQQ has no control or responsibility for these processes.<\/p><p data-start=\"1660\" data-end=\"1856\"><strong data-start=\"1660\" data-end=\"1669\">2.4.5<\/strong> \u201cSQQ\u201d maintains administrative, physical, and technical security measures for the personal data provided by the \u201cCOMPANY\u201d and\/or \u201cUSER,\u201d so they may feel protected when using the \u201cSITE.\u201d<\/p><hr data-start=\"1858\" data-end=\"1861\" \/><p data-start=\"1863\" data-end=\"2053\"><strong data-start=\"1863\" data-end=\"1896\">2.5 PRIVACY \/ DATA PROTECTION<\/strong> \u2013 \u201cSQQ\u201d protects the privacy and personal data of the \u201cCOMPANY\u201d and\/or \u201cUSER,\u201d which will only be used for the purposes indicated in the <strong data-start=\"2034\" data-end=\"2052\">PRIVACY NOTICE<\/strong>.<\/p><p data-start=\"2055\" data-end=\"2241\">For more information about the processing of personal data, please consult our <strong data-start=\"2134\" data-end=\"2152\">PRIVACY NOTICE<\/strong> available at: <a class=\"decorated-link\" href=\"https:\/\/quienesquien.mx\/en\/privacidad\/\" target=\"_new\" rel=\"noopener\" data-start=\"2167\" data-end=\"2241\">https:\/\/quienesquien.mx\/privacidad\/<\/a><\/p><p data-start=\"2243\" data-end=\"2754\"><strong data-start=\"2243\" data-end=\"2252\">2.5.1<\/strong> \u201cSQQ\u201d has partnerships with developers and consulting firms that may contact you to offer benefits. \u201cSQQ,\u201d its affiliates, partners, executives, and associates are not responsible for any events during these activities or consultations. They commit to keeping the information provided by \u201cSQQ\u201d confidential and are responsible for the use of the tools and information.<\/p><p data-start=\"483\" data-end=\"1387\"><strong data-start=\"483\" data-end=\"492\">3.1.1<\/strong> During the term and after the termination of the non-exclusive license for the services, the \u201cCOMPANY\u201d and\/or \u201cUSER,\u201d including partners, associates, executives, developers, and other personnel who in any way have access to confidential information and\/or SQQ services, shall not, without limitation, disclose, transfer, modify, translate, reproduce, emulate, clone, rent, lease, lend, commercialize, copy, disseminate, publish, decompile, or reverse-engineer the services, materialize SQQ&#039;s confidential information on tangible or intangible media, create direct or indirect shortcuts via programs or alternate pages, use or apply the services for purposes not directly and exclusively related to the purposes and objectives of this non-exclusive license agreement, or in any other way provide third parties with Confidential Information related to, concerning, or derived from SQQ services.<\/p><p data-start=\"1389\" data-end=\"2023\">\u201cConfidential Information\u201d means, without limitation, all information that the \u201cCOMPANY\u201d and\/or \u201cUSER\u201d become aware of through the use of the services and that relate, without limitation, to platforms, lists, databases, legal and\/or internal documents, technological tools, projects, activities, technical knowledge, software, services, business practices, clients, specifications, proprietary information, client portfolios, technology, source code, object code, contractual agreements, sales, pricing policies, operational methods, technical processes, commercial policies, practices, and other commercial and financial information.<\/p><p data-start=\"2025\" data-end=\"2419\"><strong data-start=\"2025\" data-end=\"2034\">3.1.2<\/strong> All Confidential Information, as defined herein, is and shall remain the property of \u201cSQQ.\u201d The \u201cCOMPANY\u201d and\/or \u201cUSER\u201d shall not disclose Confidential Information to third parties or use such Confidential Information for purposes other than those contemplated herein. The \u201cCOMPANY\u201d and\/or \u201cUSER\u201d may only provide Confidential Information when required by the corresponding authority.<\/p><p data-start=\"2421\" data-end=\"2887\"><strong data-start=\"2421\" data-end=\"2430\">3.1.3<\/strong> \u201cSQQ\u201d shall at all times be the owner of all industrial and intellectual property rights of the Confidential Information. The \u201cCOMPANY\u201d and\/or \u201cUSER\u201d may not modify any of the services, remove any proprietary notices or SQQ identifiers from the Confidential Information downloaded or printed from the \u201cSITE,\u201d nor copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works, transfer, or sell any content owned by SQQ.<\/p><p data-start=\"2889\" data-end=\"3592\"><strong data-start=\"2889\" data-end=\"2898\">3.1.4<\/strong> All features, registered trademarks, and content of SQQ, including logos, icons, texts, graphics, photographs, images, moving images, videos, sound, illustrations, and software, are the property of SQQ. All elements of SQQ are protected by copyright, trade names, logos, moral rights, database rights, trademarks, and other industrial and intellectual property rights. Unless explicitly allowed in these Terms and Conditions, no part or element of SQQ content may be copied or transmitted by any means without prior written consent from SQQ. The content of SQQ and all rights related thereto are the exclusive property of SQQ, which expressly reserves all rights in SQQ content and trademarks.<\/p><p data-start=\"3594\" data-end=\"3950\"><strong data-start=\"3594\" data-end=\"3603\">3.1.5<\/strong> SQQ may disable and prevent the \u201cCOMPANY\u201d and\/or \u201cUSER\u201d from accessing or using the services at any time during the term, without judicial declaration, if the \u201cCOMPANY\u201d and\/or \u201cUSER\u201d commits any breach of these Terms and Conditions, without this constituting a waiver by SQQ to pursue criminal and\/or civil actions before the competent authority.<\/p><hr data-start=\"3952\" data-end=\"3955\" \/><p data-start=\"3957\" data-end=\"4972\"><strong data-start=\"3957\" data-end=\"3964\">3.2<\/strong> The \u201cCOMPANY\u201d and\/or \u201cUSER\u201d acknowledges the intellectual authorship and development of the services owned by SQQ. Partners, associates, executives, and personnel related to the \u201cCOMPANY\u201d and\/or \u201cUSER\u201d who have access to the services and\/or SQQ&#039;s Confidential Information shall refrain from:<br data-start=\"4256\" data-end=\"4259\" \/>(i) Claiming intellectual ownership over all or part of SQQ&#039;s Confidential Information;<br data-start=\"4346\" data-end=\"4349\" \/>(ii) Commercializing, copying, disseminating, or distributing it in any way;<br data-start=\"4425\" data-end=\"4428\" \/>(iii) Using or applying the Confidential Information for purposes other than those tacitly authorized by SQQ;<br data-start=\"4537\" data-end=\"4540\" \/>(iv) Failing to recognize SQQ&#039;s inherent right to freely and unrestrictedly commercialize such Confidential Information in the manner that best serves its interests;<br data-start=\"4705\" data-end=\"4708\" \/>(v) Allowing third parties related to the \u201cCOMPANY\u201d and\/or \u201cUSER\u201d to copy, disseminate, transfer, modify, use, and\/or profit from the Confidential Information;<br data-start=\"4867\" data-end=\"4870\" \/>(vi) Failing to recognize moral and proprietary rights associated with SQQ&#039;s Confidential Information.<\/p><p data-start=\"4974\" data-end=\"5490\"><strong data-start=\"4974\" data-end=\"4981\">3.3<\/strong> During the term of this agreement, the \u201cCOMPANY\u201d and\/or \u201cUSER\u201d may not develop, sell, assign, lease, or otherwise transmit SQQ&#039;s Confidential Information, including but not limited to patents, intellectual property, industrial property, software developments or product sales, source code, object code, utility models, brochures, software programs, implementation of creative ideas, and in general any service or design that is equal, equivalent, similar, or substitutable for SQQ&#039;s Confidential Information.<\/p><p data-start=\"5492\" data-end=\"5838\"><strong data-start=\"5492\" data-end=\"5499\">3.4<\/strong> The obligations herein do not apply to Confidential Information that:<br data-start=\"5569\" data-end=\"5572\" \/>(i) The \u201cCOMPANY\u201d and\/or \u201cUSER\u201d can provide was already known prior to receipt;<br data-start=\"5649\" data-end=\"5652\" \/>(ii) Was public domain at the time of disclosure, without breaching any confidentiality obligations herein;<br data-start=\"5759\" data-end=\"5762\" \/>(iii) Is required to be disclosed by order of competent authority or by law.<\/p><p data-start=\"5840\" data-end=\"6074\"><strong data-start=\"5840\" data-end=\"5847\">3.5<\/strong> This agreement shall be effective indefinitely from the acceptance hereof and shall remain in effect even if the non-exclusive license is terminated, expiring, or rescinded, continuing for five (5) additional years thereafter.<\/p><p data-start=\"6076\" data-end=\"6410\"><strong data-start=\"6076\" data-end=\"6083\">3.6<\/strong> If any provision of this non-exclusive license agreement is deemed null, illegal, or unenforceable, the validity of the remaining provisions shall not be affected. The PARTIES shall replace the null, illegal, or unenforceable provision with a valid and enforceable one that, as much as possible, fulfills the original purpose.<\/p><h3 data-start=\"140\" data-end=\"175\">SECTION 4. SERVICE LEVELS (SLA)<\/h3><p data-start=\"177\" data-end=\"411\">The service levels that \u201cSQQ\u201d will meet regarding the availability of the \u201cSITE\u201d services are established, including response and resolution times to be committed in case of incidents according to the type and location of the failure.<\/p><p data-start=\"413\" data-end=\"761\"><strong data-start=\"413\" data-end=\"432\">4.1 REQUIREMENT<\/strong><br data-start=\"432\" data-end=\"435\" \/>The SLA applies in all cases once a formal request has been made by the \u201cCOMPANY\u201d and\/or \u201cUSER,\u201d ie, a formal request must exist for a specialist to intervene. This document establishes the responsibilities of the parties and the procedures to ensure that the needs of the \u201cCOMPANY\u201d and\/or \u201cUSER\u201d are met in a timely manner.<\/p><p data-start=\"763\" data-end=\"790\"><strong data-start=\"763\" data-end=\"790\">4.2 TECHNOLOGICAL TOOLS<\/strong><\/p><p data-start=\"792\" data-end=\"1251\"><strong data-start=\"792\" data-end=\"801\">4.2.1<\/strong> \u201cSQQ\u201d provides technological tools supported by communication protocols for accessing and consulting different types of lists issued by Mexican authorities, international organizations, intergovernmental associations, or authorities of other countries, regarding persons linked to terrorism or its financing. Data provided through any technological interface and the deployment of information comply with this Service Level Agreement (SLA) document.<\/p><p data-start=\"1253\" data-end=\"1351\">Three levels of access are established for accessing, consulting, and using the lists, as follows:<\/p><p data-start=\"1353\" data-end=\"1697\"><strong data-start=\"1353\" data-end=\"1362\">4.2.2<\/strong> Online real-time access and bulk queries for individuals and\/or legal entities, countries, and jurisdictions listed by \u201cSQQ\u201d; access and consultation at this level are performed through a Web Service interface that must be connected to the \u201cCOMPANY\u201d and\/or \u201cUSER\u201d for data exchange under the XML (Extensible Markup Language) standard.<\/p><p data-start=\"1699\" data-end=\"1918\"><strong data-start=\"1699\" data-end=\"1708\">4.2.3<\/strong> Access to individual online queries through the provider&#039;s website using a web browser. The web application will provide access to the lists provided by \u201cSQQ\u201d and the browser must be up to date for proper use.<\/p><hr data-start=\"1920\" data-end=\"1923\" \/><h3 data-start=\"1925\" data-end=\"1952\">SECTION 5. AVAILABILITY<\/h3><p data-start=\"1954\" data-end=\"2068\"><strong data-start=\"1954\" data-end=\"1961\">5.1<\/strong> Service queries are enabled 24 hours a day, 365 days a year, with a monthly service availability of 99.9%.<\/p><p data-start=\"2070\" data-end=\"2290\"><strong data-start=\"2070\" data-end=\"2077\">5.2<\/strong> \u201cSQQ\u201d will notify the \u201cCOMPANY\u201d and\/or \u201cUSER\u201d at least 5 business days in advance of maintenance windows involving updates to the Web Services interface, technological components, or security certificate updates.<\/p><p data-start=\"2292\" data-end=\"2403\"><strong data-start=\"2292\" data-end=\"2319\">5.3 ATTENTION PROCEDURE<\/strong><br data-start=\"2319\" data-end=\"2322\" \/>This SLA describes \u201cSQQ\u201d&#039;s commitment to have the following services available:<\/p><ul data-start=\"2405\" data-end=\"2472\"><li data-start=\"2405\" data-end=\"2422\"><p data-start=\"2407\" data-end=\"2422\">Level 1 Email<\/p><\/li><li data-start=\"2423\" data-end=\"2446\"><p data-start=\"2425\" data-end=\"2446\">Telephone Help Desk<\/p><\/li><li data-start=\"2447\" data-end=\"2472\"><p data-start=\"2449\" data-end=\"2472\">Incident registration<\/p><\/li><\/ul><p data-start=\"2474\" data-end=\"2601\"><strong data-start=\"2474\" data-end=\"2495\">5.4 SUPPORT HOURS<\/strong><br data-start=\"2495\" data-end=\"2498\" \/>Support is provided during business days, Monday to Friday, from 09:00 to 19:00 hours (GMT\/UTC Mexico).<\/p><p data-start=\"2603\" data-end=\"2708\"><strong data-start=\"2603\" data-end=\"2654\">5.5 APPLICATION MATRIX WITHIN THE SERVICE LEVEL<\/strong><br data-start=\"2654\" data-end=\"2657\" \/>The software considered within this SLA includes:<\/p><ul data-start=\"2710\" data-end=\"3020\"><li data-start=\"2710\" data-end=\"2875\"><p data-start=\"2712\" data-end=\"2875\"><strong data-start=\"2712\" data-end=\"2761\">5.5.1 Web Application for Online Access 19.07<\/strong> \u2013 Web application accessible via a browser for individual online queries, providing access to lists from \u201cSQQ.\u201d<\/p><\/li><li data-start=\"2876\" data-end=\"3020\"><p data-start=\"2878\" data-end=\"3020\"><strong data-start=\"2878\" data-end=\"2916\">5.5.2 Web Services Interface 19.07<\/strong> \u2013 Technological component enabling data exchange under the XML standard (Extensible Markup Language).<\/p><\/li><\/ul><p data-start=\"3022\" data-end=\"3101\">This SLA does not include support for applications not defined in this section.<\/p><h3 data-start=\"90\" data-end=\"134\">SECTION 6. RESPONSE AND RESOLUTION TIMES<\/h3><p data-start=\"136\" data-end=\"343\">Incidents reported by the \u201cCOMPANY\u201d and\/or \u201cUSER\u201d will be addressed with response and resolution times according to the severity assigned to each incident.
